Purchase Agreement for Potter’s Cues

This Purchase Agreement (“Agreement”) is entered into between the buyer (“Buyer”) and Potter’s Cues, a trading name of Potters Snooker and Pool Club Ltd… having its registered address at42-44 Grove Street, Swadlincote DE11 9DD

, hereinafter referred to as “Seller.” This Agreement governs the purchase of goods (“Goods”) by the Buyer from the Seller.

1. Goods

The Seller agrees to sell, and the Buyer agrees to purchase, the following Goods:

2. Purchase Price

4. Delivery

5. Inspection and Acceptance

The Buyer shall have 14 days days from the date of delivery to inspect the Goods and notify the Seller in writing of any defects, discrepancies, or non-conformities. Failure to provide such notice within the specified period shall constitute acceptance of the Goods.

6. Title and Risk of Loss

Title to and risk of loss for the Goods shall pass to the Buyer upon delivery.

7. Warranties

The Seller warrants that the Goods:

• Conform to the specifications and descriptions provided.
• Are free from defects in material and workmanship.
• Are fit for the intended purpose.

8. Limitation of Liability

In no event shall the Seller be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or the Goods.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of The United Kingdom.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

11. Amendments and Waivers

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

12. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

13. Execution

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

By making a purchase, both parties acknowledge their understanding of and agreement to the terms and conditions of this Purchase Agreement.
